Front St. • PO Box 8029 • Harrisburg, PA 17105-8029 www.phfa.org Supplier Acknowledgement of Terms and Conditions Appendix C Appendix C: Acknowledgement/Redlines for Terms and Conditions It is proposed that, if a contract is entered into as a result of successful negotiations, the selected supplier will be required to sign a standard Commonwealth of Pennsylvania contract. This agreement will contain the provisions shown on the PHFA Procurement Opportunities page https://www.phfa.org/about/procurement.aspx The supplier’s willingness to accept these Terms and Conditions shall be an affirmative factor in the evaluation of the Supplier’s proposal. There are some terms that are not negotiable as they are required to do business with the Commonwealth of Pennsylvania. Prohibited contract clauses include assignment clauses, law of the contract, attorney’s fees, court costs, entry of judgment, indemnity and hold-harmless clauses, arbitration clauses, payment in advance and payment of insurance. These clauses may not be redlined. Select one of the options below regarding the Terms and Conditions: ☐ I agree to the Terms and Conditions without any modification ☐ I am requesting minor modifications as listed below and have provided the reason for the requested modification.
